Survey Sampling International, LLC (“QuickTake”) offers clients a real-time intelligence tool designed to: (i) speed up the delivery of market research, (ii) reduce costs of acquiring market research feedback, and (iii) directly provide decision makers with actionable market research intelligence.

These Terms of Use (these “Terms”) govern and apply to your (as defined herein): (1) registration for an account with the Website (as defined herein), and (2) access to and/or use of the Website and/or SSI’s QuickTake Services (as defined herein).

For the purpose of these Terms, please see the following definitions:

  1. “SSI”: means Survey Sampling International, LLC and its parents, subsidiaries, and affiliates.
  2. “SSI's QuickTake Services”: includes, without limitation, SSI’s QuickTake do-it-yourself survey tool that allows customers to create individualized surveys, transmit surveys to survey panels powered by SSI, and access, review and export survey responses, results, and information (“Survey Data”).
  3. “You or your”: means the individual or business entity that: (1) registers for an account with the Website, and/or (2) accesses and/or uses the Website and/or SSI’s QuickTake Services, including, without limitation, the placement of orders for SSI’s QuickTake Services.
  4. “Website”: means http://www.quicktake.com/and any and all ancillary websites created in connection with the Website.

1. Registration and Access to the Website; Passwords.

  1. Individuals may register for an account with the Website by registering on or at the Website. Alternatively, individuals may access the Website with account access information (i.e. user id and password) for another website (e.g. Google, Yahoo, Facebook, etc.). If you sign into the Website using account access information for another website, SSI will not collect or receive your account access information; the other website will verify your account and transfer to SSI a verification code and any other information the other website is authorizes to transfer and share with third parties. If you register for an account with the Website, SSI may collect certain personal information from you to set up the account and will issue you a user id and password. When a business entity registers for an account, SSI will issue a user id and password, and SSI may collect information from or about the business entity (e.g. legal name, business address, business phone number, etc.) and may collect personal information of or about the users who have access to or use of the business entity’s account.
  2. You represent and warrant to SSI that all information provided by you to SSI is truthful, complete and accurate and, if such information changes, you shall promptly update your information. SSI reserves the right to suspend, deactivate, or terminate your account, or to suspend, restrict or prohibit your access to, and use of, the Website, and/or SSI’s QuickTake Services if you provide or submit false or fraudulent information to SSI.
  3. You are solely liable and responsible for the security and maintenance of your account access information and for all account activity, whether authorized or unauthorized.

2. Your Responsibilities; Prohibited Activity.

  1. Your Responsibilities.

    1. You are solely responsible for all content, materials, information, comments, posts, and surveys (“User Content”) that you upload, post, submit to, create, or use in connection with the Website and/or SSI’s QuickTake Services, including, without limitation, ensuring that all required approvals, consents, and authorizations are obtained for User Content owned by, or licensed from, a third party.
    2. In connection with your access to, and/or use of, the Website and/or SSI’s QuickTake Services, you agree that you are solely responsible for ensuring that you (and all users of your account) comply with: (1) all applicable international, national, Federal, state, and/or local laws, codes, regulations, rules, and/or requirements (“Applicable Laws”); and (2) all applicable industry codes, regulations, and rules.
    3. You acknowledge and agree that SSI is not liable or responsible for the responses, results, or information received from surveys or for your use of, or reliance upon, such responses, results or information.
    4. You acknowledge and agree that you will not collect or record any respondent identifiable-information without the prior express written consent of SSI. If you collect or record respondent identifiable-information, without SSI’s prior express written consent, you agree you will not use, publish, disclose, transfer, or store the respondent identifiable-information.
  2. Prohibited Activity. You agree you will not, and you will not permit any user of your account (whether or not an authorized user) to:

    1. Use spiders, robots or other automated data mining techniques to catalog, download, store, or otherwise reproduce or distribute content available on or in connection with the Website or SSI’s QuickTake Services;
    2. Take any action to interfere with the Website or SSI’s QuickTake Services or any individual’s use of the Website or SSI’s QuickTake Services, including, without limitation, by engaging in “overloading,” “flooding,” “mail bombing,” or “crashing” activities;
    3. Send, to SSI, and/or to, from, or in connection with the Website or SSI’s QuickTake Services, any illegal, deceptive, or harmful code, including, without limitation, any virus, spyware, adware, or any other harmful code;
    4. Send unsolicited emails, including, without limitation, emails containing promotional or advertising materials;
    5. Open, use, or maintain more than one (1) account with the Website (except in the case an individual opens one account and the individual’s employer opens another account);
    6. Forge or mask your identity;
    7. Frame a portion(s) of the Website within another website or alter the appearance of the Website (unless SSI provides its prior written consent to such framing or alteration);
    8. Establish links from any other website to any page on, or located within, the Website, without the prior express written permission of SSI, and in no event shall links to any page other than the homepage be established;
    9. Post, upload, submit, or transmit any illegal, threatening, libelous, defamatory, obscene, pornographic, scandalous, or inflammatory information, statements, materials or content on, through, or in connection with the Website or SSI’s QuickTake Services, including, without limitation, any survey containing questions on or about underage drinking, sex or sexual acts involving minors, or illegal activity;
    10. Intentionally or willfully submit falsified information or data or commit any other fraudulent act(s);
    11. Reverse engineer any aspect of the Website or SSI’s QuickTake Services or do any act, or take any action, that might reveal or disclose the source code, or bypass or circumvent measurers or controls utilized to prohibit, restrict or limit access to any webpage, content or code, except as expressly permitted by Applicable Laws;
    12. Collect or record any respondent identifiable-information without the prior express written consent of SSI;
    13. Engage in any criminal act(s); or
    14. Encourage or advise any individual or entity to commit any act(s) prohibited hereunder.

3. Services; Retention of Survey Data.

  1. SSI reserves the right, at any time and from time-to-time, to block, modify, suspend, or discontinue, temporarily or permanently, SSI’s QuickTake Services and/or the Website or any parts thereof, or your use and/or access thereto, with or without prior notice. You acknowledge and agree that SSI shall not be liable to you in the event SSI exercises the rights set forth above.
  2. You acknowledge and agree you are solely responsible for saving or exporting all Survey Data. SSI shall maintain Survey Data in its systems for a period of ninty (90) days following collection or receipt. Upon expiration of said ninty (90) day period, SSI may purge, delete or remove the Survey Data without prior notice to you and without any liability to you for such purging, deletion, or removal.

4. Fees; Payment.

  1. There are no start-up or annual fees in connection with registering for and maintaining an account with the Website.
  2. You will be responsible for all fees and taxes in connection with the purchase of SSI’s QuickTake Services in connection with your account. SSI reserves the right to modify the fees for SSI’s QuickTake Services, at anytime, and without prior written notice.
  3. You may pay for SSI’s QuickTake Services only via credit card. You represent and warrant to SSI that: (i) all credit card information provided to SSI is correct and accurate; and (ii) you are fully authorized to use the credit card information submitted in connection with the purchase of SSI’s QuickTake Services. Upon processing your order, SSI will email a receipt for your order to the email address attached to your account and information on your order shall be available for review in your online account. SSI does not store credit card information; therefore, you will have to enter your credit card information for each order.

5. Privacy Policy.

SSI is committed to protecting the privacy of your personal information and financial information (“Information”). All Information collected or received by SSI, is subject to and governed by SSI’s Privacy Policy, available at http://www.quicktake.com/legal/privacy.aspx (“Privacy Policy”). Please carefully review the Privacy Policy.

6. Confidentiality of User Content.

SSI agrees to maintain all User Content in confidence and to only use and disclose User Content in connection with SSI’s QuickTake Services.

7. Intellectual Property.

The Website, SSI’s QuickTake Services, and all software, intellectual property, information, content, and materials used by SSI in connection with the Website and SSI’s QuickTake Services, including, without limitation, all logos, text, site design, graphics, images, and icons, are the sole and exclusive property of SSI and/or its licensors (“SSI Content”). Except as otherwise required or limited by Applicable Law, you are strictly prohibited from copying, reproducing, distributing, modifying, re-transmitting, decompiling, reverse engineering, creating derivative works of, framing, or publishing any SSI Content without the prior express written consent of SSI.

8. Links.

SSI may provide you with the ability to voluntarily link or connect to websites maintained and/or operated by third parties (“Third Party Websites”). SSI neither endorses the Third Party Websites nor the products, services, surveys, and/or opportunities advertised, offered, and/or sold by, through or in connection with the Third Party Websites (“Third Party Content”). SSI is not responsible for the policies and/or practices of the Third Party Websites or for Third Party Content. SSI does not make any representations or warranties about the Third Party Websites and/or the Third Party Content. Please carefully review all policies and terms of use applicable to the Third Party Websites and Third Party Content.

9. Disclaimer.

THE WEBSITE AND SSI’S QUICKTAKE SERVICES, INCLUDING, WITHOUT LIMITATION, ALL SSI CONTENT ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE BASIS.”

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SSI HEREBY EXPRESSLY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND WHATSOEVER, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, NON-INFRINGEMENT, THE IMPLIED WARRANTY OF MERCHANTABILITY, THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, AND ANY IMPLIED WARRANTIES ARISING OUT OF A COURSE OF PERFORMANCE, DEALING OR TRADE USAGE.

SSI DOES NOT MAKE, AND HEREBY EXPRESSLY DISCLAIMS, ANY REPRESENTATIONS OR WARRANTIES THAT THE WEBSITE, SSI’S QUICKTAKE SERVICES, SSI CONTENT, AND THE TOOLS, FUNCTIONS, APPLICATIONS, AND FEATURES CONTAINED IN, OR USED IN CONNECTION WITH, THE WEBSITE AND SSI’S QUICKTAKE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, AND THAT THE SYSTEMS OR SERVERS THAT SUPPORT THE WEBSITE, SSI’S QUICKTAKE SERVICES, AND SSI CONTENT WILL BE UNINTERRUPTED, ERROR FREE AND FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

SSI IS NOT RESPONSIBLE FOR, AND DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES REGARDING, USER CONTENT, SURVEYS, INVITATIONS TO TAKE SURVEYS, OR SURVEY DATA. SSI IS NEITHER LIABLE NOR RESPONSIBLE FOR ANY USE OR RELIANCE UPON SURVEY DATA OR ANY DAMAGES SUFFERED BY YOU IN CONNECTION THEREWITH. YOU ACKNOWLEDGE AND AGREE THAT SURVEY DATA DOWNLOADED OR OBTAINED THROUGH THE WEBSITE OR SSI’S QUICKTAKE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE DONE TO YOUR COMPUTERS AND/OR SYSTEMS IN CONNECTION WITH OR AS A RESULT OF THE DOWNLOADING OF SURVEY DATA. DUE TO THE INTRINSIC NATURE AND RISKS INHERENT WITH THE USE OF THE INTERNET, YOU ACKNOWLEDGE AND AGREE THAT YOU AND YOUR USER CONTENT ARE NOT PROTECTED AGAINST THE RISKS OF MISAPPROPRIATION AND/OR PIRACY BY A THIRD PARTY AND SSI IS NOT, AND WILL NOT BE, LIABLE OR RESPONSIBLE FOR ANY SUCH MISAPPROPRIATION AND/OR PIRACY.

SSI DOES NOT PROVIDE ACCESS OR CONNECTION TO THE INTERNET AND IS NOT AND SHALL NOT BE RESPONSIBLE OR LIABLE FOR THE ACTIONS OR OMISSIONS OF THIRD PARTIES THAT INTERFERE WITH, LIMIT, RESTRICT, OR PREVENT ACCESS OR CONNECTION TO, OR USE OF, SSI’S QUICKTAKE SERVICES OR THE WEBSITE.

10. Suspension/Termination.

  1. These Terms, SSI’s QuickTake Services, your account with the Website, and your use of, or access to, the Website and/or SSI’s QuickTake Services may be terminated by SSI at anytime and for any reason.
  2. Without limiting any other remedy or remedies available to SSI, SSI may, without prior notice, suspend or terminate your account with the Website, or your access to and/or use of the Website and/or SSI’s QuickTake Services, for any reason or for no reason. You acknowledge and agree that if SSI suspends your account with the Website, or your access to and/or use of the Website and/or SSI’s QuickTake Services, such action will not preclude or limit SSI’s ability to impose any other penalty.
  3. You may terminate your account with the Website at anytime and for any reason by sending an email to SSI at support@quicktake.com. SSI shall use reasonable efforts to promptly process such termination request.
  4. In the event that your account with the Website is terminated, whether by SSI or you, your access to your account, including, without limitation, all Survey Data, User Content, and all records regarding purchases of SSI’s QuickTake Services, will immediately cease and SSI will not have any obligation to refund any payments or retain, forward, or make available any Survey Data, User Content, and/or records regarding purchases of SSI’s QuickTake Services.

11. Indemnification.

You agree to indemnify, defend and hold harmless SSI, its parents, affiliates and subsidiaries and each of their respective members, managers, shareholders, directors, officers, employees and agents from and against any and all claims, liabilities, losses, judgments, awards, fines, penalties and costs and/or expenses of any kind, including, without limitation, reasonable attorneys’ fees and court costs, arising out of, resulting from, in connection with, or caused by, whether directly or indirectly,: (i) your use of the Website and SSI’s QuickTake Services; and/or (ii) your breach or violation of these Terms.

12. Limitations of Liability.

  1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAWS, YOU ACKNOWLEDGE AND AGREE THAT IN NO EVENT WILL SSI BE LIABLE, OR OTHERWISE RESPONSIBLE, TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL AND/OR PUNITIVE DAMAGES, FOR ANY REASON(S) OR FOR ANY CAUSE(S), REGARDLESS OF WHETHER SSI IS INFORMED OF THE POSSIBILITY SUCH DAMAGES MAY EXIST.
  2. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAWS, YOU HEREBY ACKNOWLEDGE AND AGREE THAT IN NO EVENT WILL SSI BE LIABLE, OR OTHERWISE RESPONSIBLE, TO YOU FOR ANY DIRECT DAMAGES, UNDER ANY THEORY OF RECOVERY, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, FOR ANY AMOUNT IN EXCESS OF THE AMOUNTS RECEIVED BY SSI FROM YOU DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE ACTION, ACTIVITY, OR CAUSE GIVING RISE TO THE LIABILITY OR DAMAGES.

13. Notices.

  1. Notice From You.
    Except as otherwise required by Applicable Laws, all notices to be sent or provided to SSI should: (i) be correctly addressed to the applicable business address, and shall be sufficiently delivered if delivered: (a) by Federal Express, Express Mail, or other nationally or internationally recognized overnight courier service (in which case notice shall be effective one (1) business day following dispatch); or (b) by certified mail, return receipt requested, postage prepaid (in which case notice shall be effective six (6) days following deposit in mail); or (ii) be sent via email to support@quicktake.com.
  2. Notice From QuickTake.
    Except as otherwise required by Applicable Laws, you agree that SSI may provide notices to you: (i) via the e-mail address provided by you to SSI (in which case notice shall be effective one (1) day following the date the e-mail was sent, provided that SSI does not receive an error message stating that delivery of the e-mail was delayed, that the e-mail address was invalid, or that the e-mail otherwise could not be delivered); (ii) by certified mail, return receipt requested, postage prepaid addressed to the address provided by you to SSI (in which case notice shall be effective six (6) days following deposit in mail); or (iii) by posting notices on the Website.
  3. Legal Notice.
    All questions regarding these Terms and all legal notices should be sent by certified mail, return receipt requested, postage prepaid (in which case notice shall be effective six (6) days following deposit in mail) to:

14. Severability.

If any provision of these Terms shall be held or declared to be invalid or unenforceable for any reason by any court of competent jurisdiction, such provision shall be deemed null and void and shall not affect the application and/or interpretation of these Terms. The remaining provisions of these Terms shall continue in full force and effect, as if the invalid or unenforceable provision was not a part of these Terms.

15. Governing Law; Dispute Resolution.

  1. These Terms shall be governed by and construed in accordance with the laws of the state of Connecticut, USA, without regard to any portion of any choice of law principles (whether those of Connecticut or any other jurisdiction) that might provide for application of a different jurisdiction’s law.
  2. Any controversy or claim arising out of or relating to these Terms, your account with the Website, and/or your use of, and/or access to, the Website and/or SSI’s QuickTake Services shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Fairfield County, Connecticut, USA and judgment on the arbitration award may be entered in any court having jurisdiction thereof. Notwithstanding the foregoing, in no event shall you or SSI be prohibited, restricted or otherwise limited from seeking equitable relief from a court of competent jurisdiction located in Fairfield County, Connecticut, USA, to protect rights and/or property from damage or injury.

16. Agreement; Changes.

By registering for an account with QuickTake, accessing the Website, or accessing, using, or purchasing the Services, you accept, and agree to be bound by, these Terms. QuickTake hereby reserves the right to make changes to these Terms, from time to time, and such changes shall be posted on the homepage of the Website and/or any other place QuickTake deems appropriate. After amending or modifying these Terms, your continued maintenance of an account, access to the Website, or access, use, or purchase of the Services, constitutes your acceptance of, and agreement to be bound by, these Terms as amended.

17. Agreement; Changes.

You acknowledge your consent to, and agreement with, these Terms by: (i) signing up for an account with the Website; and/or (ii) accessing and/or using the Website and/or SSI’s QuickTake Services.

SSI hereby reserves the right, in its sole discretion, to make changes to the Terms. SSI encourages you to review these Terms on an ongoing basis. By signing up for an account with Website and/or accessing, and/or using the Website and/or SSI’s QuickTake Services, you voluntarily and specifically give SSI your consent to, and acceptance of, these Terms as amended or modified by SSI.
